These Website Terms and Conditions (“Terms”) govern your access to and use of the website operated by Hoffmann Torchio Architects, PLLC (“HTA,” “we,” “us,” or “our”) at https://htarchgroup.com/ and any successor domain operated by HTA (collectively, the “Website”).

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.


1. Informational Purpose Only

The Website provides general information about HTA, its experience, projects, and professional services. Website content is provided for general informational and promotional purposes only.

Website content does not constitute architectural, engineering, zoning, building-code, legal, financial, construction, or other professional advice. You should not rely upon Website content when making design, permitting, construction, property, investment, safety, or legal decisions.

Codes, regulations, site conditions, agency interpretations, product requirements, and other project considerations vary by jurisdiction and may change over time. Professional advice must be based on the facts, conditions, and requirements of a specific project.


2. No Architect-Client Relationship

Accessing the Website, submitting a contact form, sending an email, or otherwise communicating with HTA does not create an architect-client relationship, professional-services agreement, fiduciary relationship, or other contractual relationship.

HTA accepts a professional engagement only through a written agreement executed by HTA and the client. Until such an agreement is executed, HTA has no obligation to provide services, maintain confidentiality beyond applicable legal requirements, meet deadlines, reserve availability, or take action concerning any project.

Do not send confidential, privileged, time-sensitive, or proprietary information unless HTA has expressly agreed to receive it.



3. No Guarantee of Engagement or Results

HTA may accept or decline any inquiry or potential engagement in its discretion. HTA does not guarantee that it will respond to every submission or that electronic communications will be received, reviewed, or answered within a particular period.

Project images, descriptions, approvals, completed work, and testimonials appearing on the Website do not guarantee that similar results can be achieved for another property or project. Outcomes depend on project-specific conditions, client decisions, budgets, consultant coordination, contractor performance, governmental review, and other factors outside HTA’s control.


4. Intellectual Property

Unless otherwise stated, the Website and its content—including text, graphics, photographs, renderings, drawings, plans, designs, logos, trade names, page layouts, and other materials—are owned by or licensed to HTA and are protected by applicable copyright, trademark, and other intellectual-property laws.

You may view the Website and print or save limited portions for your personal, noncommercial evaluation of HTA’s services. You may not, without HTA’s prior written permission:

  • Copy, reproduce, modify, republish, distribute, display, or create derivative works from Website content;
  • Use any drawing, design, rendering, photograph, or project material for construction, permitting, design development, marketing, or commercial purposes;
  • Remove copyright, trademark, credit, or ownership notices;

  • Represent HTA’s work as your own or as the work of another person or entity.

No license or transfer of ownership is granted except for the limited right to access the Website under these Terms.


5. Project Images and Credits

Certain photographs, designs, drawings, or project materials may be owned by clients, consultants, photographers, contractors, manufacturers, or other third parties and are displayed with permission or attribution where applicable. All rights in those materials remain with their respective owners.

Use of a project image does not necessarily mean that HTA provided every service or was responsible for every element depicted.

  • Use the Website for unlawful, fraudulent, defamatory, abusive, or harmful purposes;
  • Attempt to gain unauthorized access to the Website, servers, accounts, or connected systems;
  • Introduce malware, malicious code, or disruptive technology;

  • Submit information that infringes another party’s rights; or
  • Use Website content in a misleading manner or imply an endorsement that HTA has not provided.

The Website may link to LinkedIn and other third-party websites or services for convenience. HTA does not control, endorse, guarantee, or assume responsibility for third-party content, availability, security, products, services, or privacy practices.

You access third-party websites at your own risk and subject to their applicable terms and policies.

HTA attempts to provide useful and accurate information but does not warrant that Website content is complete, current, accurate, error-free, or suitable for a particular purpose.

HTA DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.


11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HTA AND ITS MEMBERS, EMPLOYEES, CONSULTANTS, REPRESENTATIVES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE OR YOUR RELIANCE ON ITS CONTENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, HTA’S TOTAL LIABILITY FOR ANY CLAIM ARISING SOLELY FROM YOUR USE OF THE WEBSITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

These limitations do not apply where liability cannot legally be limited or excluded.


12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HTA and its members, employees, representatives, consultants, and service providers from claims, damages, liabilities, losses, and reasonable costs arising from your unlawful use of the Website, your violation of these Terms, or your infringement of another party’s rights.


13. Privacy

Your use of the Website is also subject to HTA’s Privacy Policy, which is incorporated into these Terms by reference.


14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any legal action arising solely from the Website or these Terms must be brought in a state or federal court of competent jurisdiction located in the State of New York. You consent to the personal jurisdiction of those courts.

This provision does not replace or modify the dispute-resolution terms of any separate written professional-services agreement with HTA.


15. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the greatest extent legally permissible, and the remaining provisions will remain in effect.


16. No Waiver

HTA’s failure to enforce any provision of these Terms does not waive its right to enforce that or any other provision later.


17. Entire Agreement Regarding Website Use

These Terms and the Privacy Policy constitute the entire agreement between you and HTA regarding your use of the Website. They do not supersede any separately executed professional-services agreement.


18. Changes to These Terms

HTA may revise these Terms periodically. Updated Terms will be posted on the Website with a revised effective date. Your continued use of the Website after revised Terms are posted constitutes acceptance of the updated Terms.
